Terms and Conditions

These Terms and Conditions explain the rules for using Clozyx. We've written them in plain language, but they are still a legal agreement between you and Clozyx. If anything is unclear, contact us at legal@clozyx.com before using the service.

Who these terms apply to

These terms apply to anyone who visits our website, joins the waitlist, or uses the Clozyx product. If you use Clozyx on behalf of a company or other organisation, you confirm you have authority to agree to these terms on behalf of that organisation.

Using Clozyx

You may use Clozyx only in compliance with applicable laws and these terms. You must be at least 18 years old (or the age of legal majority where you live) to create an account.

When you create an account, you must provide accurate information and keep your login credentials secure. You are responsible for activity under your account.

Your data and how Clozyx is designed

Clozyx is local-first software. Your CRM records (including contacts, deals, notes, and communications) are stored on your own devices and infrastructure, not on Clozyx servers.

• Local control. You are responsible for your own backups, access controls, and retention settings.
• Sync relay. If you enable syncing, encrypted data may transit through Clozyx relay services between your devices. Clozyx is not intended to read or permanently store that payload data.
• On-device AI. Clozyx AI features are designed to run on-device so your CRM content is not sent to external AI model providers by default.

You are responsible for ensuring your use of Clozyx and your handling of personal data complies with privacy, employment, and industry-specific laws that apply to your business.

Acceptable use

You agree not to misuse Clozyx. In particular, you must not:

• Use Clozyx for unlawful, fraudulent, abusive, or deceptive activity.
• Attempt to break, probe, or bypass security protections in the product or website.
• Reverse engineer, copy, resell, or exploit Clozyx beyond what is permitted by law.
• Use Clozyx in ways that could harm the service, other users, or third parties.

Availability, changes, and beta features

Clozyx may update, improve, or discontinue features over time. Some features may be marked as alpha, beta, or early access. These features may change quickly and may be less stable.

We aim for high availability, but we do not guarantee uninterrupted service or that every feature will always be available in every region, environment, or release.

Fees and subscriptions

Where paid plans are offered, pricing and billing terms will be shown before purchase. Unless otherwise stated, subscriptions renew automatically for the same term, and you can cancel before renewal to avoid charges for the next period.

Failure to pay fees when due may result in suspension or termination of paid features.

Intellectual property

Clozyx and its software, branding, design, and documentation are owned by Clozyx or its licensors and are protected by intellectual property laws. These terms give you a limited, non-exclusive, non-transferable right to use Clozyx as intended.

You keep ownership of your own data. You grant Clozyx only the limited rights needed to operate and support the service.

Feedback

If you send product feedback, suggestions, or ideas, Clozyx may use them without restriction and without any obligation to compensate you.

Disclaimers

To the maximum extent permitted by law, Clozyx is provided on an "as is" and "as available" basis. We do not guarantee that the service will be error-free, secure in every scenario, or fit for every specific business purpose.

You should maintain independent backups and your own business continuity plans.

Limitation of liability

To the maximum extent permitted by law, Clozyx and its affiliates, directors, employees, and contractors will not be liable for indirect, incidental, special, consequential, or punitive damages, or for loss of profits, revenue, goodwill, or data.

Our total liability for claims relating to Clozyx is limited to the amount you paid us for the service in the 12 months before the event giving rise to the claim, or AUD $100 if you have not paid any fees.

Indemnity

If you use Clozyx on behalf of a business, that business agrees to indemnify and hold harmless Clozyx from claims, damages, and expenses arising out of your unlawful use of the service or breach of these terms.

Termination

You can stop using Clozyx at any time. Clozyx may suspend or terminate access if you materially breach these terms or create security, legal, or operational risk.

Sections that by nature should survive termination (including intellectual property, disclaimers, liability limits, and dispute terms) continue to apply.

Governing law and disputes

These terms are governed by the laws of New South Wales, Australia, unless mandatory local consumer law requires otherwise. You and Clozyx submit to the non-exclusive jurisdiction of the courts of New South Wales for disputes arising from these terms.

Changes to these terms

We may update these terms from time to time. If we make material changes, we'll update the "Last updated" date and take reasonable steps to notify users where appropriate. Continued use after the effective date means you accept the updated terms.
